Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) are a binding agreement between you and Shortlist Referral Network LLC(“Shortlist,” “we,” “us,” or “our”), governing your access to and use of the Shortlist platform, including our website, web application, and mobile applications (collectively, the “Service”).
By creating an account or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to both you and that organization.
If you do not agree to these Terms, do not use the Service.
2. Who Can Use Shortlist
The Service is intended for use by:
- Staff and administrators of referral organizations, treatment networks, and similar groups (“Network Administrators”); and
- Licensed professionals, practices, and facilities whose information is maintained within a Network’s directory (“Listed Professionals” and “Listed Facilities”).
The Service is a business-to-business directory and referral management tool. It is not intended for use by patients, clients, or members of the general public seeking care directly, and no patient or client health information is collected, stored, or processed through the Service.
You must be at least 18 years old and capable of forming a binding contract to use the Service.
3. Accounts
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must provide accurate, current information when creating an account and keep it up to date.
- You must notify us promptly at [support/security email] if you suspect unauthorized access to your account.
- We may suspend or terminate accounts that violate these Terms, that we reasonably believe pose a security risk, or that have been inactive for an extended period, at our discretion.
4. Roles and Permissions
The Service uses role-based access (e.g., Admin, Editor, Viewer) as configured by each Network Administrator. Network Administrators are responsible for:
- Determining who within their organization receives access, and at what permission level;
- Removing access promptly when a team member’s role changes or their affiliation with the organization ends; and
- The accuracy of data entered or modified by users under their Network.
5. Directory Content and Accuracy
Shortlist provides tools for Network Administrators to build and maintain directories of Listed Professionals and Listed Facilities. Shortlist does not independently verify the credentials, licensure, availability, insurance acceptance, or other information entered into the Service. Network Administrators and their authorized users are solely responsible for the accuracy and currency of information they enter.
Shortlist makes no representation or warranty regarding the qualifications, conduct, or suitability of any Listed Professional or Listed Facility. Any decision to refer, contact, or engage a Listed Professional or Listed Facility is made at the sole discretion and risk of the referring party.
6. Acceptable Use
You agree not to:
- Use the Service to store or transmit any patient, client, or protected health information;
- Enter false, misleading, or defamatory information about any individual or organization;
- Access or attempt to access accounts, data, or systems you are not authorized to access;
- Use the Service to harass, discriminate against, or harm any individual, including through misuse of demographic or preference-related fields;
- Reverse engineer, scrape, or attempt to extract the Service’s underlying software or data in bulk, except through features we provide for that purpose;
- Interfere with or disrupt the integrity or performance of the Service; or
- Use the Service in violation of any applicable law.
7. Data Ownership
As between you and Shortlist, data entered by your organization into your Network’s directory (including Professional and Facility records, notes, and endorsements) remains your organization’s data. We process it on your behalf as described in our Privacy Policy.
Shortlist may use aggregated, de-identified data (that cannot reasonably be used to identify any individual, professional, or facility) to improve the Service.
8. Fees

9. Termination
You may stop using the Service and request account deletion at any time by contacting [support email]. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, or if required by law.
Upon termination, your right to use the Service ends. We will handle any retained data consistent with our Privacy Policy and any separate data retention agreement in place with your organization.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DIRECTORY INFORMATION IS ACCURATE OR COMPLETE.
11. Limitation of Liability

To the maximum extent permitted by law, Shortlist and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising from your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold Shortlist harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your misuse of the Service, or content you enter into the Service.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (such as by email or an in-product notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
